SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has reached an agreement to purchase Hugging Face in a deal valued at approximately $12.93 billion. The firms finalized the definitive agreement on September 2, 2026. Nvidia will pay roughly $11.9 billion to Hugging Face’s shareholders, with adjustments customary in such deals. The agreement also includes up to about $1 billion in equity-based retention awards for eligible employees. Both companies anticipate the deal will conclude in the first half of 2027, pending necessary approvals.

Hugging Face is a prominent platform known for hosting artificial intelligence models, datasets, software libraries, and developer tools. Nvidia reports that the platform has more than 18 million users, including developers, researchers, and creators. It features over 3 million models and around 500,000 datasets. Additionally, the platform offers access to more than 1 million applications used for AI development. Over 200,000 companies utilize Hugging Face’s services to discover, test, customize, and deploy AI systems across various computing environments.
Following the acquisition, both companies confirmed Hugging Face will continue supporting multiple models, frameworks, cloud services, and hardware platforms. Developers will still be able to use the platform without Nvidia hardware. The company will maintain support for open-source and open-weight models from various providers. Its services will also remain compatible with different cloud environments and accelerator technologies. Nvidia stated that the platform will keep supporting silicon vendors beyond its own products, in line with commitments related to the deal.
Commitments to Open AI Platform Principles Remain Intact
Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. Over the years, the company expanded its offerings to include model hosting, datasets, developer libraries, and cloud AI tools. In August 2023, Hugging Face reached a valuation of $4.5 billion after raising $235 million from tech investors in a funding round. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects connecting developers with Nvidia’s computing infrastructure and software tools.
On September 3, 2026, Nvidia disclosed the acquisition agreement in a Form 8-K filed with the U.S. Securities and Exchange Commission. The filing confirms that the deal is still pending and has not yet closed. Completion depends on regulatory approvals and standard closing procedures. Nvidia also outlined operational commitments for Hugging Face following the transaction. These include ongoing access to models and datasets, multi-cloud support, and compatibility with hardware from other semiconductor companies.
Nvidia Aims for First-Half 2027 Closure of the Deal
Nvidia already has a significant presence within the Hugging Face community. The company reports having published more than 500 models and over 250 open datasets on the platform. It also provides software libraries and development tools that users can adapt for AI projects. Hugging Face enables model discovery, testing, customization, and deployment. Its platform serves a range of clients including companies, research institutions, and individual developers working across machine learning, generative AI, and other AI applications.
The proposed Nvidia acquisition of Hugging Face for $12.93 billion remains subject to review until all closing conditions are satisfied. Nvidia anticipates completing the deal during the first half of 2027. Under the announced commitments, Hugging Face will continue to support developers working with different models, cloud services, frameworks, and computing platforms. The platform will maintain its multi-cloud and multi-accelerator approach. Until the deal is finalized, Nvidia and Hugging Face continue to operate as separate entities under the terms of their signed agreement.
