Lower Saxony and Aurelius Acquire Volkswagen Osnabrueck Plant for Defense Production Transition

BERLIN / RankWire.AI / – Volkswagen AG reached an agreement to transfer ownership of its Osnabrück assembly facility to private equity firm Aurelius Capital and the Lower Saxony regional government. This strategic move aims to repurpose idle automotive capacity for European military manufacturing. As passenger car assembly at the site ceases by mid-2027, the new owners plan to transform the 430,000-square-meter plant into a center for defense technology development. In collaboration with the state-owned defense contractor Rafael Advanced Defense Systems, the site will produce air defense systems and specialized vehicle parts. This initiative is seen as a model for European industrial adaptation amidst increasing regional defense expenditure.

Under the joint ownership agreement, Aurelius Capital, based in Tel Aviv, will hold the majority stake, while Lower Saxony, Volkswagen’s second-largest shareholder, will retain a minority interest. The primary project involves a manufacturing partnership with Rafael Advanced Defense Systems, a state-owned Israeli defense firm. Plans focus on producing specialized air defense systems and mechanical components domestically, aimed at supplying Germany and European allies.

The decision to convert the Osnabrück plant stems from Volkswagen’s 2024 strategic plan, which involves ending passenger vehicle assembly there by mid-2027 due to ongoing industrial overcapacity. Factory works council statements indicate that the defense manufacturing deal aims to preserve roughly 1,200 specialized technical roles at the facility. The transition to defense projects reflects a broader effort by Israel, Aurelius, and the German government to turn the plant into a hub for military hardware, as European vehicle manufacturers explore alternative uses for excess manufacturing space.

Rafael Advanced Defense Systems Named as Lead Manufacturing Partner

Volkswagen’s executive leadership highlighted that this sale aligns with the company’s wider efficiency initiatives aimed at optimizing European operations. Volkswagen AG CEO Oliver Blume stated that the deal provides a sustainable industrial outlook for Osnabrück while fulfilling corporate commitments to the local workforce. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, emphasized that the facility’s precision manufacturing skills and experienced technical staff make it well-suited for advanced defense production.

This transition comes amid economic pressures on European vehicle manufacturers, including declining demand for electric models, high energy costs domestically, and intense global competition. Labor union representatives from IG Metall confirmed that shifting civil automotive lines to defense manufacturing offers crucial job security for regional workers after months of employment uncertainty.

Plans to Address Overcapacity in European Automotive Plants Through Strategic Restructuring

The deal remains contingent upon finalized contractual terms, approval by relevant supervisory boards, and approval from German antitrust authorities. Financial details, overall valuation, and specific share distribution between Aurelius Capital and Lower Saxony have not been publicly revealed by the involved parties. Industry analysts observe that shifting automotive infrastructure toward military hardware reflects rising defense budgets across European NATO nations. Regulatory filings and transitional milestones will be monitored by joint oversight committees as Volkswagen prepares to cease vehicle production lines before fully transferring operations. Official updates on approvals and plant conversions will be issued through regulatory disclosures.
